Upon the acceptance of these Terms, You expressly, freely and voluntarily authorize the capture, reproduction, and the broadcasting of the Student under your care, due to their participation in any form in the tutoring sessions through the use of the Platform (including communications by voice chat), with the purpose of supervising and optimizing the general quality control of the services provided by Natlingo, improvement of the tutoring method and safety of the Student and to provide technology that will improve Natlingo’s services.
Additionally, You authorize Natlingo to use the Student’s image rights for the elaboration of educational content, descriptions, internal training, and to improve the tutoring method to feed Natlingo’s machine learning, which will enhance our services. The length of this authorization for the use of these rights will be indefinite, although this authorization can be revoked at any time. You are the only responsible for the supervision of the Student during all of the tutoring sessions.
Natlingo can, but it is not obligated to, store recordings of tutoring sessions for more than 30 days, reserving the right to review the recorded tutoring sessions in order to improve Natlingo’s services. Without your expressed written permission, Natlingo will not use any recorded training sessions in which the Student appears.
User Conduct
To keep Natlingo's Platform safe and enjoyable for everyone, We have outlined some guidelines that We ask all Parents and Students to follow. By using our Platform, You as a Parent agree to adhere to the following:
Unlawful Activity: Please refrain from engaging in any activities that violate laws, statutes, ordinances, regulations, or sanctions programs. This includes avoiding any involvement with money laundering, terrorist financing, or other illicit financial activities. Natlingo reserves the right to refuse registration or exclude individuals engaging in such activities without providing specific reasons.
Commercial Use & Gambling: Natlingo is not the place for lotteries, auctions, contests, sweepstakes, or commercial activities inconsistent with our guidelines. Keep it fun, educational, and aligned with our Platform's purpose.
Local Law: If you are accessing Natlingo functions outside the United States, make sure your usage complies with local laws. Attempting to bypass instructions or accessing the Platform from prohibited locations is a no-go.
Abusive Activity: Steer clear of any actions that could harm Natlingo or its users, such as distributing harmful code, unauthorized access attempts, or any other malicious activity
Inappropriate Behavior: Respect the community. Do not interfere with others' access, engage in hate speech, harass, or abuse fellow users. Keep interactions positive and educational.
Communication: Communication should be respectful and purposeful. Avoid sending unsolicited advertising, engaging in hate speech, interfering with others' transactions, or creating/displaying illegal content.
Fraud: No fraud, please. Do not engage in activities that defraud Natlingo, users, or any other person. Provide accurate information, and avoid deceptive practices.
Taxes: Understand and fulfill your responsibilities regarding taxes related to your transactions. You are solely responsible for determining and complying with tax obligations.
Intellectual Property Infringement: Steer clear of transactions involving items that infringe copyrights, trademarks, or any other proprietary rights. Do not use Natlingo's content without express written consent.
Hyperlinks: You can create text hyperlinks to Natlingo, but ensure they are accurate and do not portray us in a false, misleading, or defamatory manner.
Other Prohibitions: Avoid copying, modifying, or appropriating Natlingo's site or materials without our express written permission.

- Subscription Fees
- Subscription Plans: Natlingo offers numerous subscription plans, each of which will be clearly presented on the Platform. The details of these plans, including features, pricing, and any other relevant information, will be accessible to users on the Site.
- Payment Methods: Payments for subscription plans can be conveniently processed using either debit or credit cards. Natlingo ensures a secure and seamless payment experience for its users through third party payment services.
- Trial Period and Charges: At Natlingo, We may offer a trial period to allow You and your child to explore our language immersion Platform. Following this trial period, the first chargeable month commences, and fees are billed at the end of each subsequent month. Each month includes a set number of engaging sessions for your child's language immersion journey. Please be aware that the sessions are not cumulative, meaning that they should be used during the month and will not carry forward into the next month.
- Cancellation and Refund Policy: At Natlingo, We understand that circumstances may change, and our users have the flexibility to cancel their subscription directly through the Site. Upon cancellation, users will retain access to the Site and their dashboard until the current month concludes. This means that even if there are pending sessions for the month, users can continue to enjoy and complete those remaining sessions until the month concludes.
In the event that users decide to cancel due to dissatisfaction with their subscription, we offer a refund of up to the total amount charged for the last month. This policy is designed to instill confidence and assurance in our users' subscription experience with Natlingo.
Following cancellation, Natlingo may send reminders to unsubscribed users, unless users request to stop receiving these reminders. Our goal is to maintain open communication and provide support even after the cancellation process. We are committed to ensuring a positive and flexible experience for all our users.
- Terms Display: The specific terms and conditions associated with each subscription plan, including any restrictions, limitations, or additional benefits, will be prominently displayed on the Site. It is the responsibility of users to review and understand these terms before subscribing to a plan.
- Changes to Subscription Plans: Natlingo reserves the right to modify, update, or discontinue any subscription plans, including their features and pricing. Users will be notified of any changes, and existing subscribers will be given reasonable notice to adjust their subscriptions if necessary. Users can also choose to change their subscription plans directly on the Platform.
Intellectual Property Rights
Natlingo is the owner of all and every one of the intellectual property rights, including but not limited to the copyright, in the following materials (1) all materials prepared for or by Natlingo (including but not limited to books, homework, courses, class material, and relevant training materials) (2) all material generated as a part of the process of teaching (including, among others, teaching videos and teaching diagrams) (3) software, programs, and contents shown, used and provided on our Site, and (4) whatever other material, content or technology created by Us for the provision of the services (the “Materials'').
Natlingo grants You, and the Student for the exclusive use of the user account a limited license, non-exclusive and non-transferable, in order to access and use Natlingo’s Materials, with the only purpose being for educative, personal, and no commercial means of the Student and in accordance with these Terms. All other uses are expressly prohibited unless given the expressed written permission of Natlingo. Without our permission, You and the Student in your Account cannot, at any moment (during and after the termination of the term of the contract) (a) use Natlingo’s Materials for commercial purposes; (b) translate, copy, transmit, edit or reproduce or create work derived from Natlingo’s Material previously mentioned in any way, and (c) disclose, sell, share, license or redistribute transmit Natlingo’s Materials previously mentioned to a third party.
Natlingo will be the owner of the full intellectual property rights, exclusive and complete of all materials, including the video recordings during the sessions. In accordance with our Privacy Policy, Natlingo is to maintain as confidential all your personal information such as that of the Student under your care, reserving the use of the recordings made exclusively for Natlingo’s internal use.
Any unauthorized use, reproduction, or distribution of Natlingo’s Materials by users may result in legal action to protect Natlingo’s intellectual property rights. Users are encouraged to contact Natlingo for any clarifications or permissions related to the use of Natlingo’s Materials.
Natlingo Apps
Using our app involves downloading and installing software to your mobile or tablet device. We may automatically update that software and these Terms will apply to any updates.
The terms in this section apply where you download and use our app. We grant you a limited, revocable, non-exclusive, non-transferable, worldwide right to download and install the app on one device, which you own and control. You must not distribute or make the app available over a network where it could be used by many devices at once. Where We or You cancel your account, you must delete the app from your device.
Your use of the app may be subject to separate agreements you may enter into with your mobile device operating system provider, your mobile device manufacturer, your mobile service carrier, and other parties involved in providing your mobile device service (individually referred to as “Covered Third Party”, collectively referred to as “Covered Third Parties”). You agree to comply with all applicable third-party terms of service when using Natlingo’s app. We are not a party to those agreements, and we have no responsibility for the products and services provided by third parties.
You acknowledge and agree that we are solely responsible for Natlingo’s App, and for providing any maintenance or support services for Natlingo’s app, product claims, and third-party claims that the app or your use or possession of it, infringes another’s intellectual property rights. - Disputes
All claims and disputes (excluding claims for injunctive or other equitable relief as set forth below) in connection with the Terms and Conditions or the services provided by Natlingo that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. Unless otherwise agreed to, all arbitration proceedings shall be held in English. This Arbitration Agreement applies to You and Natlingo, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms.
- Notice Requirement and Informal Dispute Resolution. In case of disputes related to Natlingo's Terms and Conditions or services that cannot be resolved informally or in small claims court, arbitration will be the method of resolution. This applies to You, Natlingo, its subsidiaries, affiliates, agents, employees, and other users. Here is a breakdown:
- Notice and Resolution Attempt: Before arbitration, both parties must exchange a written Notice of Dispute, detailing the claim. Attempt to resolve the dispute informally within 30 days; otherwise, arbitration may proceed. Please contact support@natlingo.com for any written notice.
- Arbitration Rules: The American Arbitration Association (AAA) will handle arbitration under its rules. The arbitration may be conducted by a single, neutral arbitrator. For claims under $10,000, non-appearance-based arbitration may be an option.
- Additional Rules for Non-Appearance Based Arbitration: Non-appearance-based arbitration can be conducted via telephone, online, or solely through written submissions, chosen by the initiating party. Time Limits: Arbitration must be initiated within the statute of limitations and any deadline imposed under AAA Rules for the specific claim.
- Authority of Arbitrator: The arbitrator has the authority to decide rights, liabilities, award damages, and grant non-monetary remedies. The award is final and binding.
- Waiver of Jury Trial: Parties waive the right to a jury trial, opting for arbitration as a more efficient and less costly resolution method.
- Waiver of Class or Consolidated Actions: All claims must be arbitrated or litigated individually; class or consolidated actions are not allowed.
- Confidentiality: All arbitration proceedings, including awards, are strictly confidential unless required by law.
- Severability: If any part of the Arbitration Agreement is found invalid, the remaining parts remain in effect. Right to Waive: Either party may waive any rights set forth in the Arbitration Agreement without affecting other portions.
- Survival of Agreement: The Arbitration Agreement survives the termination of your relationship with Natlingo. Small Claims Court: Either party may bring an individual action in small claims court. Emergency Equitable Relief: Either party may seek emergency equitable relief in court to maintain the status quo before arbitration.
- Claims Not Subject to Arbitration: Certain claims, such as defamation or infringement of intellectual property, are not subject to arbitration.
- Courts: In cases where arbitration is not mandatory, the parties agree to submit to the personal jurisdiction of Texas courts.
- Changes to these Terms
We may revise these Terms from time to time. If we make a change to these Terms that, in our sole discretion, is material, We will take steps to notify all users by a notice on the site. By continuing to access or use the Site after those changes become effective, you agree to be bound by the revised Terms. It is your sole responsibility to review the Terms from time to time to view such changes and to ensure that you understand the terms and conditions that apply when you access or use Nalkingo’s Platform.
- Disclaimers
Your access to and use of the Platform is at your own risk. The Platform is provided "As Is”, and "As Available," and Natlingo disclaims all warranties, whether express or implied. Natlingo and its suppliers make no guarantees that:
- The Site will meet your requirements,
- The Site will be available uninterrupted, timely, secure, or error-free, or
- The content will be accurate, reliable, complete, legal, or safe.
Additionally, Natlingo disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Natlingo will not be liable for losses resulting from actions taken based on site materials. While we strive to ensure safe access to the Platform, we cannot guarantee freedom from viruses or other harmful components. Security of online data disclosure carries inherent risks, and Natlingo is not liable for security breaches.
We disclaim responsibility for (i) any loss resulting from user errors, incorrect transactions, or mistyped addresses; (ii) server failure or data loss; (iii) unauthorized access or use; (iv) third-party activities, including viruses, phishing, brute-forcing, or other attacks against the Site.
Natlingo does not provide recommendations regarding the value or suitability of specific functions on the Platform. We are not responsible for losses or injury due to software vulnerabilities, failures, or abnormal behavior of software, or other Natlingo features.
Limitation of Liability
To the fullest extent permitted by law, in no event will Natlingo be liable to you or any third party for any lost profit or any indirect, consequential, exemplary, incidental, special, or punitive damages arising from these Terms, the Platform, products or third party sites and products, or for any damages related to loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, or loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable and even if Natlingo has been advised of the possibility of such damages. Access to, and use of, the sites, products or third party sites and products are at your own discretion and risk, and you will be solely responsible for any damage to your computer system or mobile device or loss of data resulting therefrom.
Notwithstanding anything to the contrary contained herein, in no event shall the maximum aggregate liability of Natlingo arising out of or in any way related to this agreement, the access to and use of the Platform, content, or any products or services purchased on the Platform exceed an amount of USD$100. The foregoing limitations of liability shall not apply to liability of Natlingo for (a) death or personal injury caused by a member of Natlingo’s negligence; or for (b) any injury caused by a member of Natlingo’s fraud or fraudulent misrepresentation.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. Some jurisdictions also limit disclaimers or limitations of liability for personal injury from consumer products, so this limitation may not apply to personal injury claims.
- Assumption of Risk
You accept and acknowledge:
If You have a dispute with one or more users, You release us from claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. In entering into this release you expressly waive any protections whether statutory or otherwise) that would otherwise limit the coverage of this release to include those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.
- Indemnification
To the fullest extent permitted by applicable law, You agree to indemnify, defend and hold harmless Natlingo, and our respective past, present, and future employees, officers, directors, contractors, consultants, equity holders, suppliers, vendors, service providers, parent companies, subsidiaries, affiliates, agents, representatives, predecessors, successors and assigns (individually and collectively, the “Natlingo’s Parties”), from and against all actual or alleged third party claims, damages, awards, judgments, losses, liabilities, obligations, penalties, interest, fees, expenses (including, without limitation, attorneys’ fees and expenses) and costs (including, without limitation, court costs, costs of settlement and costs of pursuing indemnification and insurance), of every kind and nature whatsoever, whether known or unknown, foreseen or unforeseen, matured or unmatured, or suspected or unsuspected, in law or equity, whether in tort, contract or otherwise (collectively, “Claims”), including, but not limited to, damages to property or personal injury, that are caused by, arise out of or are related to (a) your use or misuse of the Site or anything posted on the Site (b) any feedback you provide, (c) your violation of these Terms, (d) your violation of the rights of a third party, including another user, (e) any intellectual property disputes relating to the use of the Site; and (f) your failure to pay any withholding taxes or sales taxes in connection with your transactions. You agree to promptly notify Natlingo’s Parties of any third party Claims and cooperate with the Natlingo’s Parties in defending such Claims. You further agree that the Natlingo’s Parties shall have control of the defense or settlement of any third party Claims. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and Natlingo.
- Termination
If you breach any of the provisions of these Terms, all licenses granted by Natlingo will terminate automatically. Additionally, notwithstanding anything contained in these Terms, we reserve the right, with or without notice and in our sole discretion, to suspend, disable, terminate, or delete your account and/or your ability to access or use the Site (or any part of the foregoing) at any time and for any or no reason, and you acknowledge and agree that we shall have no liability or obligation to you in such event and that you will not be entitled to a refund of any amounts that you have already paid to us.
- Severability
If any term, clause, or provision of these Terms is held invalid or unenforceable, then that term, clause, or provision will be severable from these Terms and will not affect the validity or enforceability of any remaining part of that term, clause, or provision, or any other term, clause, or provision of these Terms.
- Injunctive Relief
You agree that a breach of these Terms will cause irreparable injury to Natlingo for which monetary damages would not be an adequate remedy and Natlingo shall, to the fullest extent permitted by applicable law, be entitled to equitable relief in addition to any remedies it may have hereunder or at law without a bond, other security, or proof of damages.
- Survival
All sections which by their nature should survive the termination of these Terms shall continue in full force and effect subsequent to and notwithstanding any termination of these Terms by Natlingo or you. Termination will not limit any of Natlingo’s other rights or remedies at law or in equity.
- Miscellaneous
These Terms constitute the entire agreement between you and Natlingo relating to your access to and use of the Site and/or other Natlingo’s functions. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without the prior written consent of Natlingo, and Natlingo’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for reference only and shall not be read to have any legal effect.
The Site is operated by us in the United States. Those who choose to access the Site from locations outside the United States do so at their own initiative and are responsible for compliance with applicable local laws. You and Natlingo agree that the United Nations Convention on Contracts for the International Sale of Goods will not apply to the interpretation or construction of these Terms.
Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third-party beneficiary rights upon any other person or entity.
